There can be dissolution without winding up under a scheme for amalgamation where the transferor company can be dissolved by an order of the court, without going through the process of winding up. An order of winding up a company does not by itself put an end to its existence although from the commencement of the winding up, the company ceases to carry on the business except required for beneficial winding up. Insolvency is a stage when a company is unable to pay its debt due to financial incompetency or when debts of the company have exceeded the assets of the company. There are two types of insolvency- personal insolvency and corporate insolvency, but here we are concerned only with the corporate insolvency. Insolvency is one of the grounds for winding up of a company. The relevance of the term contributory refers to every person liable to contribute to the assets of company in the event of its being wound up and includes a holder of any shares which are fully paid-up.[1] The terms contributory and member is not interchangeable. Every member would become a contributory whereas the converse is not true. The result of this doctrine of holding out is that if a persons name is on the register with his consent, and he claims to have it removed on some ground or other, he must exercise the right promptly, otherwise, he forfeits it. Even where a name is, pursuant to a void contract placed on the register, delay after knowledge may be fatal.[4] But where the transferor had notified to the company the fact of transfer but the company delayed the matter, he was allowed to have his name removed even when the winding up had commenced.[5] The fact that the name was entered in the register on the basis of an insufficiently stamped transfer form is no defence when the company is in winding up.[6] A pr esumption of continuing membership arises from the fact of the presence of the name in the register even if a name could have been dropped for defaults in payment, etc. in terms of the companys articles.[7]Where the membership was on the basis of an allotment which could have been avoided for misrepresentation in prospectus, etc., it cannot be avoided once the winding up is on.[8] The same result will follow where the contract of allotment is subsequently found illegal or void.[9] An entry in the register need not be substantiated by producing documents such as share scrips or letters of allotment.[10] Subscribers to the memorandum of association automatically become members on registration of the company and therefore liable as such to be placed in the list of contributories whether or not any shares were allotted to them or where shares were allotted but they had not paid for the shares.[11]It was held inModal Bank Ltd. v.Janwi Narain[12]that when the applicant accepted the off er for allotment of shares and consented to act as director, the contract was completed and, without any allotment, the person became a shareholder. Hemingways thirteen word reply to Judson Jerome, an Assistant Professor of English at Antioch College, said that he had read the story again and it still made perfect sense to him. Despite this letter, Scribners republished A Clean, Well-Lighted Place in 1965 with a slight change in the waiters dialogue that they argued would fix the apparent anomaly. Scribners decision to alter the original text, the letter Hemingway wrote to Professor Jerome, and several papers on the subject all add up to a literary controversy that still churns among Hemingway scholars. I will argue that the original text is the correct text and Scribners just failed to interpret it properly. They failed to notice nuances in Hemingways writing that appear throughout many of his other works. They obviously thought Hemingways reply to Professor Jerome was made without notice of the inconsistency. Most important, I believe they did not evaluate the character of the two waiters in A Clean, Well-Lighted Place. A careful examination of the character of each waiter can make it apparent that the original text was correct and that there was no need for Scribners to alter the text. The dialogue in question results from a conversation the two waiters have concerning the old mans attempted suicide. One waiter asks Who cut him down?, to which the other waiter replies His niece. Later in the story, the original text appears to confuse who possesses the knowledge about the suicide. The waiter who previously said His niece, now says: I Know. You said she cut him down. This seems to assume the knowledge about the attempted suicide has either passed from one waiter to another, or that we have incorrectly attributed the first exchange to the wrong waiters. So which waiter asked about cutting down the old man? When the disputed dialogue between the two waiters takes place, we do not know enough about them to develop an outline of character. As the story progresses, the character of the two waiters emerges through their dialogue and thoughts, as does many of Hemingways characters. Once the character of each waiter is developed and understood, the dialogue makes more sense when the story is read again. The older waiter, who is unhurried and can empathize with the old man, makes declarative and judgmental statements throughout the story. Much like Count Mippipopolous in The Sun Also Rises, the older waiter is a reflective man who understands life and is not compelled to rush his time. He says things that convey his nature: The old man is clean. He drinks without spilling. and I am of those who like to stay late at the cafe. The older waiter shows concern for the old man and it would only be reasonable to assume that he knows a little about him. So if the older waiter knows about the attempted suicide, why did the original text confuse the issue? The younger waiter shows all the impatience of youth and an uncaring attitude towards the old man. He is more concerned about getting home to his wife and to bed before three than he is about the old man. This becomes obvious when he says, An old man is a nasty thing. The soldier that passes by suggests a conflict is occurring and adds to the old waiters perception of confusion. He was trying to tell the younger waiter how honest and decent it is just to sit in a clean cafe and drink a few brandies by yourself while trying to make sense of life. He tries to tell him that it is different to sit in a well-lighted cafe than it is to sit at a loud or dirty bar. The cafe is a place of quiet refuge and the older waiter understands this. The young waiter does not pay close attention to what the older waiter is saying because he is too concerned with his own affairs. Understanding the differences in each waiters character and the inferences that can be drawn from them is crucial when attributing the dialogue to the waiter. Certain proposals made by Otto Reinert (1959) and Charles May (1971) about Hemingways unconventional presentation of dialogue can be debunked if it is assumed the waiters have consistent characters. Reinert and May suggest that Hemingway wrote two lines of dialogue, but intended them to be said by the same person who in this case would be the young waiter. This would switch to whom the proceeding dialogue is attributed to and puts the younger waiter in the position of telling the older waiter about the old mans attempted suicide. Reinert and May say that another double dialogue occurs when the older waiter says: He must be eighty years old. Anyway I should say he was eighty. This switches the dialogue again and explains the apparent inconsistency in the original text when the older waiter says to the younger waiter, You said she cut him down. This would work well, except the dialogue that Reinert and May suggests is said by the younger waiter does not seem in line with his character. I cannot accept that the older waiter is suddenly asking all the questions and that the younger waiter knows enough about the old man to answer them. While it is true that we are unable to know who speaks which line during the first two dialogues of the story, when taken as a whole the characters of the waiters emerge and we are able to attribute lines to each waiter. The character of each waiter indicates to me that the older waiter knew about the old man and was therefore telling the younger waiter about him. If this is so, then the original text still appears to be inconsistent, but a look at Hemingways droll approach to humor will suggest otherwise. George H. Thomsons article A Clean, Well-Lighted Place: Interpreting the Original Text first gave me the idea that Hemingway might have imbued the older waiter with a dry humor that is found in other Hemingway characters. Jacob Barnes in The Sun Also Rises and the narrator in Green Hills of Africa possess this dark humor and Hemingway uses it effectively to befuddle other characters or to add to the cynicism of a situation. The narrator in Green Hills of Africa pretends to aim at humans while hunting and the guide misunderstands and takes him seriously. In The Sun Also Rises Jake speaks of a woman with bad teeth smiling that wonderful smile. The humor in A Clean, Well-Lighted Place is more subtle, but if it exists as Thomson speculates, then it clears up the apparent inconsistency in the waiters dialogue. In fact, his actions, whether intentional or not are considered ethical if they promote the greater good of the people (Utility principle). Therefore, at a fundamental level, he must protect the end users as they stand to lose the most in the overall outcome(Mill, 2012). In addition to this, John must conduct himself in accordance with the code of conduct that requires him to apply his professional skills in the most accurate way. The correct way in this instance will have him giving a truthful opinion on the outcomes of the project. He must stand for the existing results that would see an untested system deployed onto the roads thus risk the lives of the motorists involved. In all, his conscious should propel him to preserve the greater good and not his career(Mill, 2012). Response of a caring person In general, a caring person is associated with heartfelt actions that promote the great good of the people regardless of the conditions or situation. Furthermore, caring people are associated with empathy, an experience or capacity of understanding situations based on other peoples perspective(Cottingham, 2010). Therefore, if faced with the ethical dilemma at hand, the actions of a caring person will be directed towards protecting the end user. For one, they will stand and fight for the extra tests needed by the vehicles AI system. Furthermore, they would protest the recommendation made by the company by outlining the risks involved regardless of the opposition they face. If this approach fails, the caring person would seek external help to try and stop the process as the overall consequences greatly out do the individual consequences (losing a job and career). In essence, the situation at hand would push a dedicated professional to become a whistle blower to the internal proceedings of an organization and its products. Relevant ACS codes of professional conduct The elements outlined in the ACSs code of conduct are a set of guidelines to ICT professionals who in their duties must honour and respect their actions as well as those of the end users. Furthermore, the ACS code of conduct that guides its users in responding to ethical dilemmas as it stipulates the actions that should be taken in a professional environment. Now, with respect to Johns situation, he as a professional consultant should offer the best and most optimal solution to the users. However, this solution should be based on the conducts outlined by the ACS as they seek to protect the common good. Honesty John should be true to his profession and to his customers who indirectly trust his judgement as well as the decisions he makes. This code calls for him as an honourable professional whose information, skills and conduct are based on honesty. Public interest the common good of the people as stipulated by the code where a professional must consider the people affected by their decisions. The end users may lose their lives, while the company itself may be subject to criminal litigation. Competence a professional should conduct his/her duties based on the mandates given by the industrial stakeholders. The customer is the most important stakeholder in this case. Professionalism a code that requires experts to promote the codes of conduct by aspiring to be a better professional. This requirement starts with protecting the greater good of the people(ACS, 2014). Defence for the AI consultant John as an AI consultant cannot perform the extra tests on his own, in fact, he requires additional resources to execute them. These resources include testing material/equipment which will incur additional expenses to the project. Furthermore, the tests will also require additional time, a resource the company currently lacks as their competitors are in the process of launching their own products. Therefore, considering the company at hand, John may also be considering the greater good of the organization and its employees who may lose their position if the project fails. Again, the project would fail if the company loses its market share to the competitors thus lack the necessary funds to compensate for the resources used in the development process(Wah, 2008). In addition to this, consider the individual himself, who as a consultant must adhere to the hiring company and his contractual obligations. If he signed off on the project, he would be trying to fulfil his role as requested by the employer, a stakeholder of the professional which as stated in the ethical conduct must be obeyed. Moreover, he also seeks to expand his career thus propel his life and that of his family to greater heights. Conclusion (summary) Despite the position held by the consultant, his focus should be on the greater good of the end user, who lacks the technical ability to understand the overall operation of the developed system. Therefore, the end-users (customers) inherently place their trust in the company which must conduct its duties in an ethical manner. The AI consultant should, therefore, side with the common good and stand with his opinion of conducting extra safety tests. Yes, the company may lose the market but this outcome is less consequential as compared to the loss of life. Furthermore, the consultant also faces an individual battle between self-preservation (growing his career) and his professional conduct.
